Terms of Service & Escrow Rules
Effective Date: January 1, 2026 • Last Updated: October 2026
1. Acceptance & Nature of Service
By initiating, accepting, or funding an escrow transaction on KudiKeep ("Platform"), operated by KudiKeep Digital Solutions Ltd ("KudiKeep", "we", "our"), you agree to be bound by these Terms of Service. KudiKeep provides software technology that holds transaction consideration in third-party regulated custody accounts (via Paystack and licensed commercial banking partners) until contractual delivery conditions are verified.
2. The Delivery Code & Handover Mechanics
The confidential 4-digit Delivery Code serves as cryptographic proof of physical package handover from the courier to the buyer.
- Buyer Obligation: The buyer must disclose the Delivery Code to the courier ONLY when the sealed parcel is physically placed in the buyer's hands. Sharing the Code before the courier arrives is done at the buyer's sole risk.
- Handover Activation (Funds Remain Locked): Validating the Delivery Code confirms that physical handover occurred and immediately activates the agreed Inspection Window. Validating the Code does NOT disburse funds; escrow funds remain safely locked during inspection.
- Seller & Dispatcher Obligation: Sellers must instruct their logistics agents to request and verify the Delivery Code upon delivering the package. Handing over goods without securing the Code forfeits courier proof of delivery.
3. Inspection Window & Automated Release
Inspection Guide →Every deal includes an agreed Inspection Window (default 24 hours, or 3h / 12h / 48h). Once the package is marked as dispatched or handed over, the buyer must either:
- Confirm receipt by providing/entering the Delivery Code; or
- File a formal Dispute with accompanying video evidence within the window.
Failure to act: If the inspection window expires without a valid dispute being submitted, KudiKeep's automated state engine releases the locked escrow balance to the seller in full.
4. Dispute Arbitration & Continuous Unboxing Video
Video Protocol →To eradicate fraudulent return claims and protect legitimate commerce, all disputes alleging missing items, wrong specifications, empty parcels, or transit damage are subject to the Continuous Unboxing Video Rule:
The buyer must submit an uncut, continuous video recording showing the sealed waybill package, the tracking label intact, and the uninterrupted opening of the parcel revealing the defective or incorrect item.
Disputes submitted without unboxing video evidence for physical goods will be ruled in favor of the seller, absent compelling third-party courier proof.
5. Escrow Fees & Capping
KudiKeep levies a transparent 2.7% platform escrow fee on the gross transaction value, with a strict maximum cap of ₦7,000. Fees are non-refundable once escrow banking rails have settled inbound transfers. The fee split (50/50, Buyer 100%, or Seller 100%) selected during deal creation is contractually binding.
6. Prohibited Merchandise
Users may not utilize KudiKeep for stolen electronic devices, counterfeit pharmaceuticals, narcotics, weapons, unauthorized digital currency schemes, or any illegal contraband under Nigerian statutory law.
7. Governing Law & Jurisdiction
These terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any unresolved disputes arising from arbitration shall be subject to the exclusive jurisdiction of the state courts situated in Lagos State, Nigeria.
